Advised an international Hotelier based in London with thier development in Kenya, including aspects of:

• Legal due diligence and structuring;
• Property conversion and registration;
• Corporate structuring and share capitalisation;
• Finance documents, escrow arrangements;
• Advice on Kenya law requirements in respect to a share purchase agreement and devlopment lease.

Advised a multinational corporation on an anonymous complaint against one of its senior managers, including:

• Ensuring extensive internal investigations were conducted in line with the sompanys policies and best practices;
• Advising on disciplinary procedures in accordance with labour legislation and defended the company in an unfair termination suit at the Employment Relations Court Kenya.

Advised a subsidiary of an international medical supplies company, on setting up in Kneya, including

• Advise on limited liability companies vis-avis branch entities, tax considerations for setting up, liquidation of companies and transfer of assets;
• Negotiation and representation on lease arrangements for their local office in Kenya, including advise on provisions of controlled tenancies in Kenya under commercial lease arrangements.

Advised a South Africcan based company on setting up a local entity in Kenya in the cryptocurrency market including regulatory registration and compliance requirements. This also included advise on regulatory provisions across various African Jurisdictions such as Kenya, Uganda, Ghana and preparations of a playbook on key considerations within the cryptocurrency sector.
