- Conducting a due diligence exercise for a multinational regarding the reorganisation of its worldwide oil storage terminals business, including advice on the corporate implications of the transaction, and the implications of the transaction on loan facilities in respect of the parties to the transaction.
- Advising and providing opinions on the Zimbabwe Stock Exchange Listing Rules.
- Conducting extensive due diligence processes and reports on entities within Zimbabwe for local and foreign investors.
- Advising Redan Petroleum in respect of the acquisition by Puma Energy of 60% of Redan Petroleum’s shareholding, including drafting the necessary acquisition and security documents to give effect to the transaction and obtaining the necessary regulatory approvals in respect of exchange control, indigenisation, capital gains tax exemptions and merger notification approval from the Competition and Tariff Commission.
- Advising the Lesaffre Group in respect of its acquisition of 60% of the business of local yeast and fermentation manufacturer Anchor Yeast as a going concern, including conducting a due diligence on the target, drafting the necessary acquisition and security documents to give effect to the transaction and obtaining the necessary regulatory approvals in respect of exchange control, indigenisation, zero-rating of the transaction for value added tax purposes and merger notification approval from the Competition and Tariff Commission.
- Advising on an USD 8 million foreign direct investment by a multinational agri-business company, which included the obtaining of regulatory approvals from the Zimbabwe Investment Authority and the Indigenisation Authorities as well as drafting the necessary transaction documents.
- Advising a Zimbabwean bank on a USD 100 million capital raising Bond Issuance and Subscription with a Zimbabwean parastatal, including drafting, reviewing and negotiating the necessary transaction documents (Subscription Agreement and Sinking Fund Agreement).
- Advising a Jersey-incorporated investment holding company in relation to the USD 36 million re-financing of a non-controlling stake in the Client’s operational company, with operations in the mining, hospitality and financial services sectors in, amongst others, Jersey, Guernsey, the United Kingdom, Botswana and Zimbabwe via a convertible debt investment offered by the Botswana Development Corporation Limited.
